Advised one of the family groups involved in relation to the restructuring of TVS Group pursuant to which a scheme of amalgamation was recently approved by the National Company Law Tribunal.

FedEx – Delhivery
Advised FedEx in connection with the US$100 million equity investment by FedEx in Delhivery, and transfer of certain assets of FedEx pertaining to its domestic business in India to Delhivery.

Aegis Logistics – Hindustan Aegis LPG – Itochu
Advised Aegis Logistics Limited, Aegis Gas (LPG) Private Limited (“AGPL”), and Hindustan Aegis LPG Limited (“HALPG”) in relation to the acquisition by Itochu Petroleum Co. (Singapore) Pte. Ltd. from AGPL of equity shares of HALPG representing 5.3% of the paid-up share capital of HALPG. TPG – Dr. Agarwal’s Healthcare
Acted for and advised TPG in their investment in Dr. Agarwal’s Healthcare Limited in an INR 1,050 crore funding round, the largest-ever fundraising in the Indian eye care space.

Partners Group – Ecom Express
Advised Partners Group in relation to their primary investment of over US$250 million in Ecom Express Private Limited and secondary acquisition of shares from Eaglebay Investment Ltd. (a Warburg Pincus entity) and the promoter group of Ecom Express.

Kedaara Capital – Religare Health Insurance Company Limited
Advised Kedaara Capital in relation to the investment of approximately US$77 million in Religare Health Insurance Company Limited. This deal has been recognized as a ‘Deal of the Year – 2020’ by India Business Law Journal.

Real Estate

Our team is led by qualified solicitors with experience of over a decade in the field of real estate laws in India, advising on all aspects of traditional real estate deals as well as corporate real estate investments and matters. Our team is adept at advising on the entire property life-cycle, right from the initial acquisition or investment to development, leasing, and financing, right through to the final exit. The team has significant experience in conducting investigation of title, and drafting and negotiation of real estate documentation.

We have advised several clients not just in relation to acquisition of land parcels in Maharashtra, but across India, with the help of local counsel, on matters ranging from joint ventures and developments, to agreements relating to hotel operations and management, internationally branded residential projects, long term leases as well as domestic and offshore investments in real estate ventures in India. Worli Plot acquisition – Altimus
Acted for and advised Whispering Heights Real Estate Private Limited, a joint venture between K. Raheja Limited and GIC Singapore for acquisition of 3-acre plot of land in Worli.

Goa Plot – Jimmy Gazdars’ bungalow
Acted for and advised Redd Villas and Resorts Private Limited in its successful acquisition, on ownership basis, of an approximately 5-acre property known as Palacio Aguada situated in Candolim, Goa. This deal is one the largest real estate transactions concluded in Goa in recent times.

Hotel Leelaventures and the Promoters of the Leela Group
Advised on the sale of its hotel assets in Delhi, Chennai, Udaipur and Bangalore to Brookfield Asset Management. This deal has been recognized as a ‘Deal of the Year – 2019’ by India Business Law Journal.

Central Depository Services Limited
Acted for and advised Central Depository Services Limited in multiple proceedings which have been initiated by investors before the Hon’ble Bombay High Court against SEBI and the market intermediaries (stock exchanges, depositories and clearing corporations) in relation to an alleged fraud of over INR 1400 crore perpetrated by inter alia a stock-broker, Anugrah Stock & Broking Limited.

Advised and represented the Bombay Stock Exchange in an international arbitration administered by the Singapore International Arbitration Centre
arising out of a contractual shareholder dispute against S&P Dow Jones Indices LLC and SPDJ Singapore Pte Ltd.

Pfizer Limited
Acted for and advised Pfizer in the lead/main petition essentially dealing with the Government’s decision to ban approximately 354 fixed dosed combination drugs overnight on the grounds that these drugs had no therapeutic value.

White Collar Crime

We have represented individuals and multinational companies across sectors, addressing complex and sensitive issues pertaining to economic offence, fraud, anti-corruption, money-laundering and whistle blower complaints. Our team has extensive experience in advising clients on preventative measures designed to reduce the risk of civil and criminal prosecutions. Our team’s expertise extends to various fora across the country, including but not limited to the Supreme Court of India, various High Courts of India, Enforcement Directorate, Serious Fraud Investigation Authority and National Financial Reporting Authority.

The team supports clients from the bottom level of the judicial hierarchy all the way till the Supreme Court, whether the matter is at the police authority level or at the charge-sheet stage, and assists and advises on strategies to avoid arrests and attachments. Whether it involves anticipatory measures, or anticipating the moves of the prosecutor in advance, the team specializes in making effective defenses in order to mitigate chances of attachments. Represented ICICI Bank Limited in a writ petition filed against it by its former Managing Director & Chief Executive Officer, Ms. Chanda Deepak Kochhar challenging the decision of the board of directors of ICICI Bank Limited to treat Ms. Kochhar’s early retirement from ICICI Bank Limited as termination for cause and to revoke all her existing and future retirement benefits.

Deloitte – ILFS
Advised Deloitte Haskins & Sells LLP, who were the statutory auditors of several entities of the IL&FS Group from inception, in the investigations and proceedings before various fora where the Government is inter alia seeking a ban on Deloitte from acting as a statutory auditor for any company for a period of at least 5 years. This dispute has been recognized as a ‘Deal of the Year – 2020’ by India Business Law Journal.

Mumbai International Airport Limited
Acted for and advised Huntsman International in respect of its case pertaining to data theft filed by one of its ex-employees and for a claim in damages.


We advise and assist clients on a wide gamut of competition law issues such as merger control; anti-competitive agreements; abuse of dominant position; analysis of commercial agreements, licensing and distribution arrangements; analysis of sector specific policies and market studies to identify competition concerns; competition advisory; competition compliance and trainings. We also provide counselling and strategies for anti-trust risk management.

We advise clients across sectors including information technology, pharmaceuticals and healthcare, media and telecommunications, energy, real estate, and petrochemicals with respect to both regulatory and compliance issues, having acted for both acquirer and target companies as well as merging entities in connection with obtaining merger clearances from the Competition Commission of India.

Acted for and advised Partners Group in filing and obtaining CCI approval for the acquisition of a stake in Ecom Express.

Kedaara Capital – Religare Health Insurance Company Limited
Acted for the Kedaara Group in filing and obtaining a CCI ‘Green Channel’ approval for the acquisition of a minority stake in Religare Health Insurance Company.This deal has been recognized as a ‘Deal of the Year – 2020’ by India Business Law Journal.

Advised FedEx in filing and obtaining the CCI approval for its investment in Delhivery.

Private Equity in Real Estate (PERE), unlike traditional private equity investments, is nothing but an investment in the business of real estate, which is manifested by investments in entities with underlying real estate assets. The liberalisation of investment norms, coupled with a burgeoning real estate market in India, has resulted in an increasing number of transactions in this space, and our team possesses the requisite experience, skill-set and knowledge to guide clients in such matters.

While the firm has significant experience in investment transactions, our firm also has rich experience in real estate transactions of all types. In fact, we have a dedicated team of partners and associates who have a special focus on PERE, which combines two core practice areas of the firm, and is equipped to advise on all stages of any PERE investments.
