Key Responsibilities
- Hotel Management Agreements
- Draft, review, and negotiate Hotel Management Agreements (HMAs) for hotel projects involving domestic and international operators.
- Advise on key provisions, including:
- Operator fee structures (base fees, incentive fees, GOP-linked returns)
- Term, renewals, and exit mechanisms
- Performance tests and owner safeguards
- Brand standards and operational obligations
- Exclusivity, territorial rights, and non-compete provisions
- Analyze and negotiate risk allocation mechanisms, including indemnities, limitation of liability, and termination triggers.
- Support clients in renegotiation, restructuring, and exit from existing HMAs.
- Ancillary Hospitality Agreements
- Draft and review agreements related to HMAs, including:
- Franchise agreements
- Technical services agreements (TSAs)
- Pre-opening and marketing agreements
- Ensure alignment and consistency across all operator-related documentation.
- Transactional & Structuring Support
- Assist in hospitality transactions involving operator onboarding, brand conversions, and portfolio structuring.
- Conduct due diligence on existing HMAs, highlighting commercial and contractual risks for investors and stakeholders.
- Advise on structuring arrangements between owners and operators for optimal commercial outcomes.
- Commercial Advisory (Hospitality Focus)
- Provide strategic advice on owner–operator relationships and commercial structuring in hotel projects.
- Support negotiations between stakeholders, balancing legal protection with business objectives.
- Analyze industry practices and benchmark agreement terms against global hospitality standards.
Educational Qualification
- LL.B./LL.M.
Experience
- 2-5 years of relevant experience with a law firm or in-house team, with demonstrable exposure to HMAs or hospitality agreements.
